BY-LAWS

BLACKWATER LAKE ASSOCIATION, INC.

  1. MEMBERSHIP
  • ELIGIBILITY
  1. Membership in this Association shall be open to all property owners, lease holders and special interests in the lake, subject to board approval.
  • Membership in this Association shall be open to all back property owners and lease holders who have deeded access rights to the above mentioned waters.
  1. Membership shall be evidenced by payment of annual (January 1 to December 31) dues.
  • All members of the family are considered members of the Association by this payment.
  • Separate voting membership may be had by payment of annual dues.
  • VOTING
  1. Voting shall be limited to 2 co-owners for each paid membership, and the majority vote shall govern.
  • PRIVACY
  1. With the exception of that information which is a matter of public record, all membership information shall be kept confidential.
  • Lists of property owners and Association membership may be provided only by authorization of the Board.
  1. MEETINGS OF MEMBERSHIP
  • ANNUAL MEETINGS
  1. There shall be an annual meeting of the membership on the Third (3rd) Saturday in July.
  • The Board shall designate the time and place of the meeting.
  • The Board shall give notice of annual meetings via email or mailing via the Blurb.
  • ELECTION OF OFFICERS AND DIRECTORS
  1. Officers and Directors shall be elected at the annual meeting.
  • ALL MATTERS PERTINENT TO THE PURPOSES OF THE ASSOCIATION MAY BE PRESENTED AT THE ANNUAL MEETING FOR DISCUSSION OR ACTION.
  1. OFFICERS
  • THE OFFICERS OF THE ASSOCIATION SHALL BE:
  1. Chairman
  • Vice Chairman
  • Recording Secretary
  • Treasurer
  • NOMINATION AND ELECTION
  1. The officers shall be elected by the membership at the annual meeting.
  • At the time of the Annual Meeting, nominations for Officers may be made from the floor. 
  • If no one is nominated, the Chairman shall appoint from the membership, with the concurrence of the Board, members to fill the vacant positions.
  • DUTIES OF OFFICERS
  1. Chairman

The Chairman shall preside at all membership and Board of Directors meetings; and shall represent the Association in matters relating to the Association.

  • Vice Chairman

The Vice Chairman shall assume the duties of the Chairman if the Chairman is unable to do so.  The Vice Chairman shall become the Chairman upon resignation of the Chairman and new Vice Chairman shall be appointed.

  • Recording Secretary

The Recording Secretary shall record the minutes of all membership and Board meetings, and keep a complete record of the membership.  The Recording Secretary shall also perform other duties as may be required by the Board of Directors.

  • Treasurer

The Treasurer shall receive all monies due this Association; shall deposit same in a depository approved by the Board of Directors; shall disburse the funds of the Association; shall present a statement of account at all meetings of the Board of Directors; shall keep a correct record of dues payments for all members and shall make a complete report at the Annual Meeting.

  • THE OFFICERS SHALL ALSO SERVE AS MEMBERS OF THE BOARD OF DIRECTORS DURING THEIR TERM.
  • TENURE OF OFFICE
  1. Officers shall serve for a period of three (3) years.
  • VACANCIES
  1. Any vacancy in an office shall be filled by the Board of Directors for the balance of the term.
  • INDEMNIFICATION OF THE BOARD OF DIRECTORS
  1. Each person who shall be, is, or has been an officer of a director of this Association, shall be indemnified by this Association against expenses, judgments/s, including attorney fee/s necessarily incurred by such person in connection with the defense or settlement of any action, suit, or proceeding to which they are a party, by reason of their being or have been an officer of or a director of this Association; unless said person shall be adjudged in such action, suit, or proceeding to be liable for personal misconduct in the performance of their duties to this Association.
  1. BOARD OF DIRECTORS:
  • QUALIFICATIONS
  1. All members of the Board must be members in good standing of the Association.
  • MEMBERS
  1. Elected Officers
  • Immediate Past Chairman (Immediate Past Chairman shall serve a maximum term of two (2) years).
  • Five (5) Directors shall serve for a term of two (2) years.
  • THE CHAIRMAN SHALL SERVE AS CHAIRMAN OF THE BOARD OF DIRECTORS.
  • QUORUM
  1. A quorum to conduct business shall be the Directors present.
  • MEETINGS OF THE BOARD
  1. The Board shall meet at least once from May through October at the time and place specified by the Chairman.  The Board shall also meet at the time of the Annual Meeting.
  • Special meetings of the Board may be called by the Chairman upon giving an email notice seven (7) days prior to the meeting.  This notice shall specify the time and place of the meeting and its purpose.
  • DUTIES
  1. To carry out such policies and procedures as to best effectuate the purposes of the Association.
  • To give final approval to all expenditures.
  • VACANCIES
  1. Vacancies shall be filled by appointment by the Chairman with the approval of the Board.
  • STANDING COMMITTEES

The Board may establish committees to undertake programs in specialized areas of interest with at least one Board member serving on each committee.

Present Committees are:

  1. Fish Management
    1. Water Quality and Healthy Lakes
    1. Membership and Communication
    1. Waterways
  • MEETINGS
  • Roberts Rules of Order shall govern all meetings of the Association.
  • AMENDMENT OF BY-LAWS
  • These By-Laws may be altered, amended, or repealed by the members at a regular or special meeting by a majority vote of the members present at such meeting.

THE ABOVE BY-LAWS WERE AMENDED BY A MEETING OF THE BLACKWATER LAKE ASSOCIATION, INC. THIS 18TH DAY OF JULY, 2009 AS FOLLOWS:

I. MEMBERSHIP

(B) EVIDENCE OF MEMBERSHIP,

1. Membership shall be evidenced by payment of Thirty Dollars ($30.00) annual (July 1 to June 30) dues per family, and

3. Separate voting membership may be had by payment of Thirty Dollars ($30.00) annual dues.

IV. BOARD OF DIRECTORS

(B) MEMBERS,

2. Immediate Past Chairman (Immediate Past Chairman shall serve a maximum of two (2) years).
